  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR AVAILABILITY OF THE SITE OR ITS CONTENT;
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

Costa Vida makes no warranty that any menu item is free from allergens or suitable for individuals with specific food allergies or intolerances. No advice or information, whether oral or written, obtained from Costa Vida or through the Site will create any warranty not expressly stated in these Terms.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND APPLICABLE STATE CONSUMER PROTECTION STATUTES, IN NO EVENT SHALL COSTA VIDA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenues, data, goodwill, or other intangible losses;
  • Damages resulting from your access to, use of, or inability to access or use the Site or our services;
  • Damages resulting from any conduct or content of any third party on or related to the Site;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT COSTA VIDA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL COSTA VIDA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO COSTA VIDA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, COSTA VIDA'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.


10. Indemnification

You agree to defend, indemnify, and hold harmless Costa Vida and its officers, directors, employees, agents, contractors, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law, regulation, or ordinance;
  • Your use or misuse of the Site or our services;
  • Your User Content or any content you submit, post, or transmit through the Site;
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights;
  • Any fraudulent, negligent, or intentional misconduct by you;

You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Costa Vida in writing at [email protected] and attempt to resolve the dispute informally. You must describe the nature of your dispute in reasonable detail and the specific relief you are seeking. Costa Vida will attempt to respond to your written notice within thirty (30) days of receipt. If the dispute cannot be resolved informally within sixty (60) days of the initial notice, either party may proceed to formal dispute resolution as described below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. EXCEPT AS SET FORTH BELOW, YOU AND COSTA VIDA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE SITE, OR ANY PRODUCTS OR SERVICES PROVIDED BY COSTA VIDA SHALL BE RESOLVED SOLELY THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT.

The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org or by calling 1-800-778-7879. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND COSTA VIDA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND COSTA VIDA EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information, or to address claims that can be brought in small claims court within the applicable jurisdictional limits.


15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or our services. Either party may terminate this Agreement at any time, for any reason or no reason, without prior notice.

Costa Vida reserves the right, in its sole and absolute discretion, to:

  • Suspend or terminate your account and access to the Site and services immediately, with or without cause or notice;

  • Block your IP address or take other technical measures to prevent your access to the Site;
  • Remove any User Content associated with your account;
  • Pursue any legal remedies available at law or in equity.

Upon termination of your account or this Agreement: (a) all rights and licenses granted to you under these Terms will immediately cease; (b) you must cease all use of the Site and services; and (c) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 13 (Governing Law), 14 (Dispute Resolution), and this Section 15.

In such circumstances, our obligations will be suspended for the duration of the force majeure event, and we will use commercially reasonable efforts to resume normal operations as soon as practicable.


19. Severability

If any provision or portion of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, void, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected, impaired, or invalidated by such severability.

The invalidity or unenforceability of any provision in one jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction. No waiver by either party of any breach or default of any provision of these Terms shall be deemed a waiver of any subsequent breach or default, and shall not affect the other terms hereof.


20. Entire Agreement and Waiver
